Terms of use

Plain terms for what it means to use ONYX. If you're integrating the API on behalf of a company, "you" means that company, and you're confirming you have authority to accept these terms for it.

1. Acceptance

Creating an account, generating an API key, or sending a request to onyxtech.cloud means you accept these terms. If you don't agree to them, don't use the service.

2. Accounts & keys

  • You're responsible for every request sent with your keys, including ones made by people or systems you gave them to.
  • Keys are not transferable between accounts.
  • Tell us right away if a key leaks. We'll revoke it on request — usage billed before revocation still stands.
  • You must be able to enter a binding contract to hold an account. If you're using ONYX for an organization, you're representing that you're authorized to bind it.

3. Acceptable use

Use the API to build things, not to break things. Specifically, you agree not to:

  • Generate content that's illegal, that sexually exploits minors in any way, or that facilitates violence, fraud, or harassment of real people.
  • Attempt to extract another customer's data, keys, or usage information.
  • Send traffic designed to degrade the service for other customers, including deliberate load spikes intended to disrupt availability.
  • Reverse-engineer the gateway to bypass metering, rate limits, or spend caps.
  • Resell raw API access as a competing gateway without a separate agreement with us.

We may suspend a key without notice if it's actively causing harm to the platform or to others; we'll notify you promptly after acting.

4. Billing

  • Usage is metered per token and billed at the rates published on the pricing page at the time each request is made.
  • Plan fees, where they apply, are billed monthly in advance; usage charges are billed in arrears at the end of the billing period.
  • Per-key spend caps are advisory to you, not a contractual ceiling on our side — a burst of concurrent requests can briefly exceed a cap before it's enforced.
  • We don't offer refunds for tokens already generated. If we billed you for a request that failed on our side, ask us to reverse it — we will.
  • Prices can change; we'll give at least 14 days' notice before a rate change takes effect for existing accounts.

5. Availability

We target the uptime published on the site, but ONYX depends on upstream model providers we don't control. We're not liable for downtime caused by an upstream outage, though we'll route around it where we can.

6. Data & content

  • You own the prompts you send and the completions you receive, subject to the terms of the underlying model provider.
  • We log requests transiently for abuse detection and debugging. Logs are retained for 30 days, then deleted, unless you're on a plan with a different retention agreement.
  • We don't use your prompts or completions to train our own models.
  • Don't send anything through the API you don't have the right to send — that includes other people's personal data you're not authorized to process.

7. Third-party models

ONYX routes requests to models built by Anthropic and OpenAI. Those providers' own usage policies apply to the content you generate through their models, in addition to these terms. ONYX is an independent gateway — it isn't affiliated with, endorsed by, or operated by Anthropic or OpenAI, and "Claude" and "GPT" remain trademarks of their respective owners.

8. Liability

The API is provided as-is. To the extent the law allows, we're not liable for indirect, incidental, or consequential damages arising from your use of it — including decisions made based on model output, which can be wrong. Our total liability for any claim is capped at the amount you paid us in the three months before the claim arose.

9. Termination

You can close your account at any time; outstanding usage charges are still due. We can suspend or close an account for a material breach of section 3 that isn't fixed within a reasonable time after we flag it, or immediately for severe abuse.

10. Changes to these terms

We'll post updates here with a new effective date. Material changes get an email to the address on your account at least 14 days before they take effect. Continuing to use the API after that date means you accept the update.
